The Paralegal reports directly to the General Counsel and provides executive support in a one-on-one working relationship. The Paralegal will be responsible for the coordination of activities (operations and planning) and ensuring timely flow of information to and from the executive office. This position coordinates details of a highly confidential and critical nature, and must function efficiently and effectively in a fast-paced professional environment. The position will have a proven ability to independently manage multiple tasks and projects with competing priorities and deadlines, screen and prioritize communications from external and internal sources, and organize and maintain administrative processes. In addition, the position must be attuned to SEC regulations and how this impacts the banking and financial services industry. 


  • Provides professional legal support in the form of legal research, and drafting of legal and business communications.
  • Coordinates, tracks, and communicates the initiation, status, and completion of contracts to ensure timely satisfaction of legal requirements and business objectives.
  • Prepares documents, agreements, and pleadings related to litigation and non-litigation matters.
  • Reviews, proofreads, and assists with documents, reports, memos, briefings, presentations, and forms, ensuring accuracy and completeness. Properly formats and implements styles of legal documents.
  • Addresses and resolves routine legal questions, acting as the legal department interface with internal and external constituencies.
  • Prepares and maintains official corporate records, notices, and actions required by federal, state, and local jurisdictions, and other regulatory agencies. May review and prepare summaries of federal and state regulatory agency orders, rules, and procedures.
  • May develop and maintain legal databases.
  • Manages communications and correspondence for the General Counsel that may be of a confidential nature and require the exercise of discretion and judgment in the response.
  • Manages General Counsel’s calendar, coordinates travel, and arranges for couriers and delivery of documents.
  • Understands organizational policies and procedures necessary to ensure appropriate decision-making protocols are followed.
  • Anticipates the needs of the General Counsel and acts accordingly.
  • Conducts and/or participates in special department studies and projects as assigned by the General Counsel.


  • High school diploma is required.
  • Paralegal certificate and/or Bachelor’s degree in legal studies is preferred.
  • 10+ years of experience in legal support and administration, required.
  • Minimum of 5 years of experience in supporting senior leadership, required.
  • Previous experience in banking or financial services environment, required.
  • Knowledge of corporate legal proceedings related to entity formation, mergers and acquisitions, and SEC filings.
  • Knowledge of court systems, filing dates, and federal and state laws and regulations.
  • In-depth understanding of technical legal terminology.
  • Knowledge of legal research techniques and the use of legal databases.
  • Knowledge of document formats of a legal nature such as contracts, briefs, summaries, complaints, and motions.
  • Advanced knowledge of office administration practices and concepts.
  • Detail oriented, self-motivated, and able to thrive gracefully under pressure in a demanding environment.
  • Ability to manage conflicting priorities while respecting tight deadlines.
  • Excellent and professional command of the English language in a written and verbal capacity.
  • Excellent interpersonal communication skills and ability to interact with a wide variety of employees at different levels within the organization.
  • Ability to transition from generalist to specialist without losing traction.
  • Demonstrate general knowledge of Bank Secrecy Act and OFAC related responsibilities in the performance of daily operations to ensure adherence to bank policies and compliance with all regulatory requirements.
